Terms of Service

1. Agreement

By purchasing, downloading, or using MindClip, you agree to these Terms of Service. If you do not agree, do not use the software. These terms constitute a legal agreement between you and Mindact Solutions AB, a company registered in Sweden (org. nr 559293-6545), with its registered address at Lagastigen 16, 331 30 Värnamo, Sweden.

2. Product Description

MindClip is a clipboard manager application for macOS. It requires macOS 13 (Ventura) or later and runs natively on Apple Silicon and Intel-based Macs. MindClip stores clipboard data locally on your device and requires an internet connection only for license activation, checking for updates, and receiving your license key by email.

3. License

MindClip is licensed, not sold. Upon purchase, you receive a non-exclusive, non-transferable license to use MindClip on one (1) Mac device, subject to these terms.

  • The license is perpetual — it does not expire.
  • All future updates are included at no additional cost.
  • Each license key is bound to a single device upon activation.
  • You may not share, resell, sublicense, or distribute your license key.
  • You may transfer your license to a new device by contacting support to deactivate the old one.

4. Permitted Use

You may install and use MindClip on one Mac device per license, use MindClip for personal or commercial purposes, and make a backup copy of the application for archival purposes.

5. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the software.
  • Modify, adapt, or create derivative works based on MindClip.
  • Remove or alter any proprietary notices, labels, or marks.
  • Circumvent or attempt to circumvent the license activation system.

6. Payment

MindClip is a one-time purchase. All payments are handled by Stripe, Inc., which acts as the merchant of record for your transaction. This means Stripe is the legal seller and is responsible for processing your payment, calculating and collecting applicable taxes (VAT, sales tax, GST) based on your location, issuing receipts and invoices, and handling payment-related disputes.

Your payment will appear as sold through Stripe/Link on your receipt. Mindact Solutions AB receives proceeds from Stripe after taxes and fees. All prices are in USD unless otherwise stated at checkout.

7. Right of Withdrawal (EU Consumers)

If you are a consumer located in the European Union, you have a statutory 14-day right of withdrawal from the date of purchase, in accordance with the Consumer Rights Directive 2011/83/EU.

However, by purchasing and downloading MindClip, you expressly consent to the immediate delivery of digital content and acknowledge that you lose your right of withdrawal once the download begins.

If, for any reason, you have not yet downloaded or activated MindClip, you may exercise your right of withdrawal by contacting us at hello@mindclip.pro within 14 days of purchase. We will issue a full refund without undue delay and no later than 14 days after receiving your withdrawal notice.

8. Refunds

Outside the statutory right of withdrawal described above, refund requests may be submitted within 14 days of purchase by contacting hello@mindclip.pro. We evaluate refund requests on a case-by-case basis. Upon refund, your license will be revoked and the software will revert to an unlicensed state.

9. Conformity and Consumer Guarantees

For consumers in the EU, MindClip is subject to the conformity requirements of the Digital Content Directive 2019/770. We warrant that MindClip will:

  • Conform to the description provided on our website and function as described.
  • Be fit for the purposes for which software of the same type would normally be used.
  • Be updated as necessary to maintain conformity, including security updates.

If MindClip does not conform to these requirements, you are entitled to have the software brought into conformity free of charge, or, where this is not possible or disproportionate, to a price reduction or a full refund.

These statutory consumer rights cannot be limited or excluded by these terms.

10. Updates

MindClip may periodically check for updates via our update server. Updates may include bug fixes, new features, or security patches. You are not required to install updates.

11. Intellectual Property

MindClip, including its code, design, name, logo, and documentation, is the intellectual property of Mindact Solutions AB and is protected by copyright and other intellectual property laws. Your license grants you usage rights only — no ownership or intellectual property rights are transferred.

12. Disclaimer of Warranties

To the extent permitted by applicable law, and except for the conformity guarantees provided in Section 9, MindClip is provided “as is” without additional warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free, uninterrupted, or free of harmful components.

Nothing in this section limits any rights you may have under mandatory consumer protection laws that cannot be excluded or limited by contract.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Mindact Solutions AB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, or goodwill. In no event shall our total liability exceed the amount you paid for the software.

This limitation does not apply where prohibited by law, including but not limited to liability arising from intentional misconduct or gross negligence, or mandatory consumer protection rights under EU law.

14. Termination

We may terminate your license if you violate these terms. Upon termination, you must stop using MindClip and delete all copies. You may terminate this agreement at any time by uninstalling MindClip and deleting all copies. Sections 11, 12, 13, and 15 survive termination.

15. Governing Law and Jurisdiction

These terms are governed by the laws of Sweden. Any disputes arising from or relating to these terms shall be resolved by the courts of Sweden.

If you are a consumer in the EU, you retain the benefit of any mandatory consumer protection provisions of the law of your country of residence, and you may bring legal proceedings in the courts of your country of residence.

For EU consumers, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Changes to These Terms

We reserve the right to update these terms. Changes will be posted on this page with an updated date. For material changes that affect your rights, we will make reasonable efforts to notify you (for example, by email or a notice within the app). Your continued use of MindClip after such notice constitutes acceptance of the updated terms. If you do not agree to the updated terms, you may stop using MindClip.

18. Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Mindact Solutions AB regarding the use of MindClip.
